Welcome to TenantBuddy. These Terms of Use ("Terms") govern your access to and use of the TenantBuddy property management software platform ("Service") operated by TenantBuddy ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy.

If you disagree with any part of these Terms, you may not access or use our Service.

2. Description of Service

TenantBuddy is a Software as a Service (SaaS) platform designed to help property managers, landlords, and tenants manage rental properties efficiently. Our Service includes features such as:

• Property and unit management
• Tenant and lease management
• Rent collection and financial tracking
• Maintenance request management
• Document storage and management
• Communication tools
• Reporting and analytics

3. User Accounts and Eligibility

Eligibility

You must be at least 18 years old and have the legal capacity to enter into agreements to use our Service. By using our Service, you represent and warrant that you meet these eligibility requirements.

Account Registration

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You must promptly notify us of any unauthorized use of your account
• You are responsible for all activities that occur under your account

4. Acceptable Use

You agree to use our Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

5. User Content and Data

Your Content

You retain ownership of all content and data you upload to or create within the Service ("User Content"). However, by using our Service, you grant us a limited, non-exclusive license to use, store, and process your User Content solely for the purpose of providing the Service.

Content Responsibility

• You are solely responsible for the accuracy and legality of your User Content
• You warrant that you have all necessary rights to upload and use your User Content
• You agree to indemnify us against any claims arising from your User Content
• We reserve the right to remove content that violates these Terms

6. Subscription and Payment Terms

Subscription Plans

Our Service is offered on a subscription basis with various pricing plans. Subscription fees are billed in advance on a recurring basis according to your selected plan.

Payment Terms

• All fees are non-refundable unless otherwise specified
• You authorize us to charge your payment method for recurring subscription fees
• Failure to pay may result in service suspension or termination
• We may change pricing with 30 days' advance notice
• All amounts are in Canadian dollars unless otherwise specified

7. Intellectual Property Rights

Our Rights

The Service, including all software, designs, text, graphics, and other content, is owned by TenantBuddy and protected by intellectual property laws. All trademarks, service marks, and logos are our property or that of our licensors.

License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or business purposes in accordance with your subscription plan.

8. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

9. Service Availability and Maintenance

While we strive to provide reliable service, we do not guarantee uninterrupted availability. We reserve the right to:

• Perform scheduled maintenance with advance notice when possible
• Temporarily suspend service for security or technical reasons
• Implement updates and improvements to the Service
• Modify or discontinue features with reasonable notice

10. Termination

Termination by You

You may terminate your account at any time by contacting us at hello@tenantbuddy.ca. Upon termination, your access to the Service will cease, and your data may be deleted according to our data retention policy.

Termination by Us

We may terminate or suspend your account immediately if you violate these Terms, engage in prohibited activities, or fail to pay subscription fees. We will provide reasonable notice when possible.

11. Disclaimers and Limitation of Liability

Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY FOR ANY DAMAGES ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

12. Indemnification

You agree to indemnify, defend, and hold harmless TenantBuddy and its employees, officers, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your User Content, or your violation of these Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of Canada and the province in which our business is registered. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction in Canada.

14. Changes to Terms

We may modify these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will remain in full force and effect.
